1. Agreement & Acceptance
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”) and [[LEGAL ENTITY NAME]], a [[ENTITY TYPE]] registered in India at [[REGISTERED ADDRESS]] (“Autometa”, “we”, “us”), governing your access to and use of the Autometa CRM software, its APIs, mobile applications and associated services (collectively, the “Services”).
You accept these Terms by ticking the acceptance checkbox during registration. That acceptance is recorded against the version number shown on this page, together with the date and the originating IP address. If you do not agree to these Terms, do not create an account or use the Services.
If you accept these Terms on behalf of a company, firm or other entity, you represent that you have authority to bind that entity, and “Customer” refers to that entity. You must be at least 18 years of age.
2. Definitions
- Customer Data: all data, records, contacts, leads, messages, call recordings, transcripts, documents, attendance records, payroll figures and other content that you or your Authorised Users submit to, or generate within, the Services.
- Authorised User: an individual you invite to your workspace — typically your employee, contractor or agent — who accesses the Services under your account.
- Data Principal: an identified or identifiable individual whose personal data appears in Customer Data, including your Authorised Users and the contacts, leads and customers you record.
- Workspace Administrator: an Authorised User holding administrative rights over your workspace, including the ability to manage roles, invite users, configure integrations and export records.
3. Account Registration, Access & Security
You agree to provide accurate, current and complete information during registration and to keep it up to date. You are responsible for all activity that occurs under your account.
- Credential confidentiality: you are responsible for safeguarding your login credentials, API keys and session tokens, and for enabling the access controls the Services make available to you. Notify us immediately at security@autometa.in of any suspected unauthorised access.
- Workspace administration: Workspace Administrators you designate can manage user roles, invite and remove Authorised Users, configure integration tokens and export your organisation’s records. We act on the instructions of any person authenticated as a Workspace Administrator, and you are responsible for their actions.
- Authorised Users: you are responsible for your Authorised Users’ compliance with these Terms, and for informing them of any monitoring features you choose to enable (see Section 8).
- Age: the Services are intended solely for business use by persons aged 18 or over. We do not knowingly permit accounts for minors.
4. Subscription Plans, Billing & Taxes
Autometa CRM is offered on a per-seat basis, in Indian Rupees, on prepaid terms of one, six or twelve months. A free tier and a time-limited trial may also be offered.
- Prepaid terms: subscription fees are payable in advance for the full term selected. The number of seats you purchase is a ceiling — you cannot add Authorised Users beyond it without purchasing additional seats.
- Seats and credits: seats added mid-term are charged pro-rata for the remainder of the current term. AI and storage usage is metered against a prepaid credit balance. Credits are consumed as used, and are non-refundable and non-transferable.
- Reducing seats: a reduction in seat count takes effect at the start of your next term. Mid-term reductions are not refunded.
- Taxes: all fees are exclusive of GST and any other applicable taxes, cess or duties, which will be added and invoiced in accordance with Indian law.
- Payment processing: payments are collected through Razorpay. We do not receive or store your full card number.
- Price changes: we may change our prices for future terms. Any change is notified at least 30 days before it applies and never affects a term you have already paid for.
5. Cancellation, Refunds & Non-Payment
- Cancellation: you may cancel at any time by writing to support@autometa.in. Cancellation takes effect at the end of your current prepaid term; your workspace remains fully available until then, and you will not be charged for a further term.
- Refunds: fees for a prepaid term are non-refundable, in whole or in part, including where you cancel early, reduce seats, or cease using the Services. Full details are in our Refund & Cancellation Policy. Nothing in this clause limits any right you have that cannot be excluded under applicable law.
- Non-payment: if a renewal payment fails or an invoice remains unpaid, we may restrict access to your workspace after notifying you. We will not delete Customer Data solely for non-payment for at least 30 days following the restriction, during which you may export your data.
6. Acceptable Use
You agree to use the Services only for lawful business purposes. You shall not, and shall not permit any Authorised User to:
- Reverse-engineer, decompile, disassemble or attempt to derive the source code of any part of the Services, or copy, resell, sublicense or white-label the Services without our written agreement.
- Send unsolicited bulk commercial messages, spam, or any communication that breaches the Telecom Commercial Communications Customer Preference Regulations, the DND registry, the WhatsApp Business Messaging Policy, or any equivalent law or platform rule applicable to you.
- Upload, store or transmit unlawful, defamatory, obscene, harassing or infringing content, or content prohibited by Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
- Upload malicious code, or interfere with, disrupt or place an unreasonable load on our infrastructure, APIs or rate limits.
- Circumvent authentication safeguards, tenant isolation, permission boundaries or usage metering, or access another customer’s workspace or data.
- Use the Services to build a competing product, or to benchmark them for publication without our written consent.
- Use the Services in any way that would cause us to breach a law or a third-party platform’s terms.
We may investigate suspected breaches and, where a breach is serious or ongoing, suspend access under Section 13.
7. Customer Data, Ownership & Licence
- Your ownership: as between you and Autometa, you retain all right, title and interest in Customer Data. We claim no ownership of it.
- Limited operational licence: you grant us a worldwide, non-exclusive, royalty-free licence to host, copy, store, process, transmit and display Customer Data solely to the extent necessary to provide, maintain, secure and support the Services in accordance with your instructions and our Privacy Policy.
- Data roles: in respect of Customer Data you are the Data Fiduciary (controller) and we act as a Data Processor on your documented instructions. In respect of your own account, billing and session data we act as the Data Fiduciary. Our processing commitments are set out in our Data Processing Addendum.
- Export: you may export Customer Data at any time using the export features in the product. On termination we will keep your data available for export for 30 days, after which your workspace and its contents may be permanently deleted.
- Aggregated statistics: we may compile anonymised, aggregated statistics about use of the Services that do not identify you, your Authorised Users or any individual, and use them to operate and improve the Services.
8. Your Responsibilities & Warranties
The Services are tools you direct. You decide what data to put into them, whose data it is, which features to switch on, and what messages to send. You therefore warrant and undertake that:
- Lawful basis: you have a valid lawful basis, and where required a valid and informed consent, for every category of personal data you submit to the Services or instruct us to process, including data about your customers, leads, prospects and Authorised Users.
- Notice to individuals: you have given the notices required of a Data Fiduciary under the Digital Personal Data Protection Act, 2023 (and any other law applicable to you) to the individuals whose data you process using the Services.
- Employee monitoring: where you enable attendance capture, geolocation at check-in, geo-fencing, call recording, call-log or contact ingestion via the mobile application, or any similar feature, you have obtained all consents and given all notices required from your Authorised Users under applicable employment and privacy law.
- Call recording: you are solely responsible for informing all parties to a recorded call that the call is being recorded, and for obtaining any consent required by the law of every jurisdiction in which a party to that call is located.
- Marketing and messaging: every message, campaign, broadcast or automated communication you send using the Services complies with applicable telecom regulations, DND requirements, the WhatsApp Business Messaging Policy and all other applicable communications and consumer law, and is sent only to recipients from whom you hold the required consent.
- Accuracy and rights: you have the right to submit the Customer Data you submit, and its submission does not infringe any third party’s intellectual property, privacy or other rights.
- Sensitive data: you will not submit to the Services any data relating to health, biometric identifiers, financial account credentials or government identity documents except where you have confirmed with us in advance that the Services are suitable for it.
9. Communication Channels & Connected Platforms
The Services let you connect external communication and advertising platforms — including WhatsApp, email mailboxes, telephony providers, and social and advertising networks — using credentials or authorisations you supply.
- Your accounts, your relationship: those accounts remain yours and continue to be governed by the relevant provider’s own terms. You are responsible for complying with them.
- WhatsApp connectivity: one of the WhatsApp connection methods we offer operates through an unofficial client library rather than the official WhatsApp Business Platform. Using it may breach WhatsApp’s terms and can result in your number being rate-limited, restricted or permanently banned by WhatsApp. You choose whether to use that method and you accept that risk entirely. We do not warrant its availability and are not liable for any action WhatsApp takes against your number or account.
- Telephony and recording: calls placed or received through connected telephony providers, and any recordings or transcripts produced, are subject to Section 8 above and to your provider’s terms.
- Availability: external platforms change, deprecate and withdraw their APIs without notice to us. An integration ceasing to function because of a change by its provider is not a defect in the Services and does not entitle you to a refund.
10. AI Features
The Services include features powered by large language models and other machine-learning systems — among them drafting assistance, summarisation, sentiment analysis, call transcription, knowledge-base answering and autonomous agent actions.
- Probabilistic output: AI output is generated probabilistically. It can be incomplete, outdated, biased or simply wrong, and it can appear confident while being incorrect. We make no warranty as to the accuracy, completeness, suitability or reliability of any AI output.
- Human review: you are responsible for reviewing AI output before relying on it, sending it to a third party, or acting on it. Do not use AI output as a substitute for legal, financial, medical or other professional advice.
- Third-party model providers: AI features are delivered using third-party model providers listed on our Sub-processors page. Content you submit to an AI feature is transmitted to the relevant provider to generate the output.
- Automated actions: where you configure an AI agent or automation to take actions on your behalf, those actions are taken on your instruction and you are responsible for their consequences. Configure and test them accordingly.
- Metering: AI usage is metered and charged against your credit balance at the rates published in the product.
11. Service Availability, Support & Changes
We will use commercially reasonable efforts to keep the Services available and to resolve faults promptly. We do not offer a service level agreement, an uptime guarantee or service credits. The Services are provided on an as-available basis.
- Maintenance: we may carry out scheduled maintenance, and will try to give advance notice and to schedule it outside Indian business hours where practicable. Emergency security patching may be applied without notice.
- Interruptions outside our control: we are not responsible for unavailability caused by your network, your device, an upstream provider, a connected platform, or any event described in Section 19.
- Support: support is provided by email at support@autometa.in during Indian business hours. We aim to acknowledge requests within one business day; this is a target, not a contractual commitment.
- Product changes: we develop the Services continuously and may add, change or withdraw features. Where we withdraw a feature you materially rely on, we will give you at least 30 days’ notice by email or in-product notice.
12. Intellectual Property
The Services, including all software, interfaces, documentation, trade marks and branding, are and remain our property or that of our licensors. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services during your subscription, and nothing more.
If you send us feedback, suggestions or feature requests, we may use them without restriction or obligation to you. This does not give us any right to your Customer Data.
13. Suspension & Termination
- By you: you may terminate at any time under Section 5. Fees already paid are not refunded.
- Suspension for cause: we may suspend your access where you are in material breach of these Terms, on 14 days’ written notice and an opportunity to cure. We may suspend immediately and without notice where the breach involves unlawful content, a security threat to the Services or other customers, non-payment beyond the period in Section 5, or conduct that exposes us to liability or to enforcement by a third-party platform.
- Termination by us: we may terminate for material breach that is not cured within the notice period, or on 30 days’ notice for convenience, in which case we will refund the unused portion of a prepaid term calculated on a daily basis.
- Effect: on termination your right to access the Services ends. Customer Data remains available for export for 30 days, after which your workspace and its contents may be permanently deleted and cannot be recovered.
- Survival: Sections 7, 8, 12, 14, 15, 16, 17, 18 and 20 survive termination.
14. Confidentiality
Each party may receive information of the other that is marked confidential or would reasonably be understood to be confidential. Each party will protect the other’s confidential information with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and advisers bound by equivalent obligations.
These obligations do not apply to information that is public through no fault of the receiving party, was already lawfully known to it, or is independently developed by it. Disclosure compelled by law or a competent authority is permitted, with notice to the other party where lawful.
15. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranty of any kind, whether express, implied or statutory. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.
Without limiting that: we do not warrant that the Services will be uninterrupted, timely, secure or error-free; that defects will be corrected; that the Services will meet your requirements or produce any particular business result; that AI output will be accurate; or that any connected third-party platform will remain available.
Some laws do not allow the exclusion of certain warranties. Where such a law applies to you, our liability is limited to the maximum extent that law permits.
16. Limitation of Liability
To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, exemplary or punitive damages, nor for loss of profits, revenue, goodwill, business opportunity, anticipated savings, or loss or corruption of data, however caused and under any theory of liability, even if advised of the possibility.
Our total aggregate liability arising out of or relating to these Terms or the Services, whether in contract, tort (including negligence), statute or otherwise, shall not exceed the total fees actually paid by you to us in the three (3) months immediately preceding the event giving rise to the claim. Where more than one claim arises, this cap applies in aggregate across all of them and is not multiplied.
We are not liable for: loss or damage arising from Customer Data or from your use of the Services in breach of Section 8; the acts or omissions of any third-party platform or connected service; any action taken by WhatsApp or another provider against your account or number; unauthorised access resulting from your failure to safeguard credentials; or any decision you take in reliance on AI output.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited.
These limitations are a fundamental basis of the bargain between us and reflect the fees charged. They apply even if a limited remedy fails of its essential purpose.
17. Indemnity
You will defend, indemnify and hold harmless Autometa, its proprietor, partners, employees and agents against all claims, demands, proceedings, losses, damages, fines, penalties, costs and reasonable legal fees arising out of or relating to:
- your Customer Data, or any allegation that it infringes or misappropriates a third party’s rights;
- any breach by you of Section 6 (Acceptable Use) or Section 8 (Your Responsibilities & Warranties);
- any claim brought by an Authorised User or other individual relating to attendance capture, geolocation, call recording, call-log or contact ingestion, or any other monitoring feature you enabled;
- any claim, regulatory action or penalty arising from messages sent using the Services, including claims under telecom or DND regulations or the WhatsApp Business Messaging Policy;
- any action taken by a third-party platform in response to your use of the Services; and
- your violation of any applicable law.
We will notify you promptly of any such claim, give you control of its defence (provided that any settlement admitting fault or imposing an obligation on us requires our written consent), and give you reasonable cooperation at your expense.
18. Governing Law, Jurisdiction & Disputes
These Terms and any dispute arising out of or in connection with them, including any question of their existence, validity or termination, are governed by the laws of India, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to the arbitration provision below, the courts at [[CITY]], India shall have exclusive jurisdiction, and both parties submit to that jurisdiction.
Arbitration. Any dispute the parties cannot resolve through good-faith discussion within 30 days of written notice shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement. The seat and venue of arbitration shall be [[CITY]], India, and the language shall be English. The award shall be final and binding. Either party may seek interim injunctive relief from a court to protect its intellectual property or confidential information.
Nothing in this Section limits any right you may have to approach a consumer forum where such a right applies to you and cannot be excluded by agreement.
19. General
- Force majeure: neither party is liable for failure or delay caused by an event beyond its reasonable control, including natural disaster, epidemic, war, civil unrest, strike, failure of power or telecommunications, internet backbone or upstream provider outage, cyber-attack, or act of government.
- Assignment: you may not assign these Terms without our written consent. We may assign them to a successor in connection with a merger, acquisition or sale of substantially all our assets, on notice to you.
- Severability: if any provision is held unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions continue in full force.
- No waiver: a failure to enforce a provision is not a waiver of the right to enforce it later.
- Notices: we may give notice by email to your registered address or by in-product notice. You may give notice to legal@autometa.in.
- Relationship: the parties are independent contractors. Nothing here creates a partnership, joint venture, agency or employment relationship.
- Entire agreement: these Terms, together with the Privacy Policy, Refund & Cancellation Policy, Cookie Policy and Data Processing Addendum, are the entire agreement between the parties and supersede all prior discussions. Any purchase-order terms you issue are of no effect.
- Language: these Terms are in English, which governs in the event of any translation.
20. Changes to These Terms
We may update these Terms to reflect changes to the Services, the law or our operations. The version number and effective date on this page identify the current version.
Where a change is material and adverse to you, we will give at least 30 days’ notice by email or in-product notice before it takes effect. If you do not accept a material change, your remedy is to cancel under Section 5 before it takes effect; continued use of the Services after that date constitutes acceptance. Non-material changes take effect when published.
